If you are a director of a company which is doing business overseas, you may decide to grant a power of attorney to a lawyer, accountant, other advisor or representative abroad to enable them to sign documents and carry out other activities on behalf of the company in the foreign jurisdiction. 

The power of attorney document will need to be drafted by a lawyer qualified in the country where it is going to be used. 

The power of attorney will then need to be executed in a manner that complies with the laws of England & Wales and also the laws of the jurisdiction within which it is to be used.

Powers of attorney must be signed as a 'deed' in England and there are special rules relating to this which Alice can guide you through. In general, they must be executed using one of the following methods:

– By the signature of two directors of the company
– By the signature of a director of the company and the secretary of the company
– By the signature of a director of the company in the presence of an attesting witness
– By the affixing of the company’s common seal in the presence of one or more officers of the company

Alice will identify the company and its directors and ensure the people signing the power of attorney on behalf of the company have the necessary authority to do so under the law of England & Wales and also in accordance with the articles of association of the company.

Depending on the nature of the power of attorney, Alice may also need to prepare a notarial certificate to confirm various information about the company and the execution of the power of attorney. This certificate is issued with the Alice's signature and seal, and is normally bound securely to the document that it notarises. 

Once the power of attorney has been properly executed and notarised, Alice can then arrange for an apostille and embassy / consulate legalisation if this is necessary for the document to be accepted and legally recognised abroad. Alice can provide guidance on this process.

Alice carries out a review of the company from the documents filed at Companies House and also by liaising with the directors and/or secretary of the company.

Alice will access the document that needs to be notarised on the Companies House website. Alice will then draft the necessary notarial certificate to be attached to the document which is being notarised and carry out the notarising by signing, sealing and stamping that certificate.

Once the Companies House documents have been notarised, if required, Alice can then arrange for them to be apostilled and then legalised by the relevant embassy / consulate. Alice can provide guidance on when this may be necessary.
